Acceptance of Terms

By engaging Prism Meridian for any service, accessing this website, or submitting a contact enquiry, you agree to be bound by these Terms of Service. If you do not agree with any provision herein, you must not use our services or website.

Description of Services

Prism Meridian provides independent management consultancy services including but not limited to strategic operations auditing, infrastructure scalability planning, cross-border workflow design, resource performance analytics, and corporate governance consulting. The scope of each engagement is defined in a separate written agreement.

Engagement Agreements

All service engagements require execution of a written Scope of Work or Engagement Letter prior to commencement. These documents govern deliverables, timelines, fees, and responsibilities and take precedence over any general terms in the event of a conflict.

Fees and Payment

Fees are quoted per engagement and are outlined in the applicable Scope of Work. Invoices are due within fourteen calendar days of issuance unless otherwise agreed in writing. Late payments may be subject to a finance charge of 1.5% per month on outstanding balances.

Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for the delivery of services. Delays or inaccuracies in client-provided information may affect timelines and deliverable quality, for which Prism Meridian bears no liability.

Intellectual Property

All proprietary methodologies, frameworks, and tools developed by Prism Meridian remain the intellectual property of Prism Meridian. Upon full payment, clients receive a non-exclusive licence to use deliverables for their internal business purposes only.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Prism Meridian will not disclose client information to third parties without prior written consent, except as required by law or regulation.

Limitation of Liability

Prism Meridian's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or punitive damages under any circumstances.

No Guarantee of Outcomes

Consultancy deliverables represent professional analysis and recommendations based on available information. Prism Meridian does not guarantee specific business outcomes, revenue results, or operational improvements. Implementation and results remain the responsibility of the client.

Termination by Client

Clients may terminate an engagement with fourteen days written notice. Fees for work completed up to the termination date remain due and payable in full. Any third-party costs incurred on behalf of the client prior to termination are also the client's responsibility.

Termination by Prism Meridian

We reserve the right to terminate any engagement immediately in the event of client breach of contract, non-payment, or conduct that compromises our ability to deliver services ethically and professionally. In such cases, fees for completed work remain due.

Independent Contractor Status

Prism Meridian operates as an independent contractor and not as an employee, partner, or agent of the client. Nothing in these Terms or any engagement agreement creates a joint venture, partnership, or employment relationship between the parties.

Conflict of Interest

Prism Meridian will disclose any potential conflicts of interest identified during or prior to an engagement. We reserve the right to decline an engagement where a material conflict cannot be resolved in a manner acceptable to both parties.

Non-Solicitation

During an engagement and for twelve months thereafter, clients agree not to directly solicit or hire any Prism Meridian consultant or employee who was involved in their engagement. A recruitment fee equivalent to six months of the individual's consulting rate applies to any breach.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, governmental actions, pandemics, or infrastructure failures. The affected party must provide written notice within five business days.

Dispute Resolution

Any disputes arising from these Terms or an engagement agreement shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty days, disputes shall be submitted to binding arbitration in Barren County, Kentucky, under the rules of the American Arbitration Association.

Entire Agreement

These Terms of Service, together with any applicable Scope of Work or Engagement Letter, constitute the entire agreement between the parties. They supersede all prior discussions, representations, or agreements, whether oral or written, relating to the subject matter herein.

Amendments

Prism Meridian reserves the right to amend these Terms at any time. Updated Terms will be published on this page with a revised effective date. Continued engagement with our services after such updates constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable. All remaining provisions shall continue in full force and effect.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States. Any legal proceedings arising hereunder shall be conducted in the appropriate courts of Barren County, Kentucky.

Refunds & Cancellations

Nature of Our Services

Prism Meridian provides professional consultancy services of an intellectual and advisory nature. Due to the bespoke and resource-intensive character of our work, refunds are handled on a case-by-case basis according to the terms outlined in this policy.

Deposit and Retainer Fees

Engagements requiring a deposit or retainer fee are non-refundable once work has commenced. These fees compensate for the allocation of consultant time, internal planning, and resources committed in preparation for the engagement.

Cancellation Before Commencement

If a client cancels a confirmed engagement more than seven business days before the scheduled start date and no substantive preparatory work has begun, a full refund of any advance payment will be issued, less any documented administrative costs incurred.

Cancellation Within Seven Days of Start

Cancellations received within seven business days of the engagement start date, where preparatory work has commenced, will result in a partial refund. The amount refunded will reflect the proportion of work not yet completed at the time of cancellation.

Mid-Engagement Termination

In cases of client-initiated termination during an active engagement, fees are due for all work completed up to and including the termination date. Prism Meridian will provide an itemised account of work completed upon request within five business days of termination.

Deliverable-Based Engagements

For fixed-scope engagements defined by deliverable milestones, payment for each milestone becomes non-refundable upon delivery and client acceptance. Acceptance is considered granted if no written objection is received within five business days of delivery.

Quality Disputes

If a client believes that delivered work does not meet the agreed specifications outlined in the Scope of Work, they must submit a written dispute within ten business days of delivery. Prism Meridian will review and respond within five business days with a proposed resolution.

Revisions and Remediation

Where a quality dispute is substantiated, Prism Meridian's first obligation is to remedy the deficiency through revision or supplementary work at no additional cost. A monetary refund is considered only after good-faith remediation efforts have been exhausted or mutually deemed unsuitable.

Retainer Arrangements

Clients on monthly retainer arrangements may discontinue with thirty days written notice. Fees already invoiced and paid for the current billing period are non-refundable. Unused retainer hours do not carry over to subsequent periods unless explicitly agreed in writing.

Termination by Prism Meridian

In the event Prism Meridian terminates an engagement due to circumstances within our control and unrelated to client breach, a pro-rata refund of prepaid fees for uncompleted work will be issued within fourteen business days. This constitutes our sole obligation upon such termination.

Third-Party Costs

Any third-party costs incurred on behalf of the client, including but not limited to software licences, travel expenses, or subcontractor fees, are non-refundable once committed. Clients will be notified and must approve such costs in writing prior to commitment.

Refund Processing

Approved refunds will be processed within fourteen business days of written confirmation. Refunds will be returned to the original payment method where possible. Prism Meridian is not responsible for delays caused by banking institutions or payment processors.

Currency and Exchange

All fees are quoted and invoiced in US Dollars. Prism Meridian is not responsible for exchange rate fluctuations or foreign transaction fees applied by a client's financial institution. Refunds will be issued in US Dollars at the original invoiced amount.

Chargebacks and Disputes

Clients are encouraged to resolve billing concerns directly with Prism Meridian prior to initiating a chargeback with their financial institution. Chargebacks initiated without prior engagement will be contested and may result in suspension of the client relationship and referral to collections.

Scope Changes and Amendments

Changes to a confirmed Scope of Work requested by the client after commencement may result in additional fees or adjusted timelines. Prism Meridian will not issue refunds for fees already paid when scope changes are requested by the client and have been accommodated.

Discretionary Refunds

Prism Meridian retains sole discretion to issue partial or full refunds in exceptional circumstances not covered by this policy. Such decisions are made on a case-by-case basis and do not constitute a waiver of rights or precedent for future cases.

How to Request a Refund

Refund requests must be submitted in writing to the contact details provided at the bottom of this page. Requests must include the client's name, engagement reference, the amount in dispute, and a clear description of the basis for the request.

Policy Updates

This Refund Policy may be updated periodically to reflect changes in our service model or applicable law. The version in effect at the time of engagement commencement governs that engagement. Continued use of our services after updates constitutes acceptance of the revised policy.

Governing Law

This Refund Policy is governed by the laws of the Commonwealth of Kentucky, United States. Any disputes relating to refunds that cannot be resolved directly shall be subject to binding arbitration in Barren County, Kentucky, as described in our Terms of Service.
